Welcome to Million Stories, a service dedicated to providing you with educational information and videos about financial literacy and entrepreneurship streamed over the internet via the Million Stories website (located at www.millionstories.com) and Million Stories authorized devices (collectively, the “Million Stories User Interfaces”). Million Stories is operated by Singleton Foundation For Financial Literacy and Entrepreneurship, a California nonprofit public benefit corporation (“Singleton”).

This Privacy Policy is to inform you of our policies and procedures regarding the collection, use and disclosure of Personal Information (as defined below) we receive when you visit and use the Services. As used in this Privacy Policy, the “Services” means the services provided by Million Stories for discovering and watching video programs, including all features and functionalities, the Million Stories User Interfaces, as well as all content and software associated with the services. This Privacy Policy applies only to information that you provide to us through the Services, and when you access or use any information, services, products or content offered by Million Stories through the Services. This Privacy Policy may be updated from time to time. We will notify you of any material changes by posting the new Privacy Policy on the Million Stories website. You should consult this Privacy Policy regularly for any changes.

The Information We Collect

In the course of using the Services, we ask you to provide us with certain information that could reasonably be used to contact you or identify you personally ("Personal Information"). Personal Information may include, but is not limited to, your name, phone number, email address and postal address. Personal Information also includes your IP address or other unique identifier that is associated, on a persistent or on-going basis, with your computer, mobile phone or other device (any, a "Device") you use to access the Services.

Some features on the Services may ask users to provide certain information that is not personally identifiable, such as city or state of residence, date of birth and gender. Such demographic information is referred to collectively, along with Usage Information (defined below), as “Non-Personal Information.” Non-Personal Information is generally non-identifying, but, if we associate it with you as an identifiable individual, we will treat it as Personal Information.

When visitors use our Services, we and our third-party service providers also may automatically collect some non-personally identifiable information such as the type of computer operating system you are using (e.g., Microsoft Windows or Mac OS), the type of browser you are using (e.g., Internet Explorer, Firefox), the domain name of the Internet service provider you are using (e.g., Verizon), and your activity while using our Services (e.g., which of our pages you have viewed, and the content viewed) (“Usage Information”).

Collection Methods/Tracking Technologies

In addition to the information that you may provide to us, our Services may use software technology such as "cookies," “flash cookies,” "web beacons," “embedded scripts” or other similar technologies (collectively referred to as "Tracking Technologies"). These Tracking Technologies are used to help tailor our content, allow visitors to move between associated websites without logging into each site, content protection and other purposes related to our management of the Services. Cookies are small text files stored locally on your Device that help store user preferences. Flash cookies are data files placed on your Device via the Adobe Flash plugin, which may be built-in to or downloaded by you to your computer or other device. Flash cookies may be used for various purposes, such as enabling a Flash feature and remembering your preferences. Web beacons or "clear gifs" are small pieces of code placed on websites used to collect advertising metrics, such as counting page views, promotion views or advertising responses. An embedded script is programming code that is designed to collect information about your interactions with the Services, such as the links you click on. The code is temporarily downloaded onto your Device from our web server or a third-party service provider, is active only while you are connected to the Services, and is deactivated or deleted thereafter. We may use Tracking Technologies to determine how many visitors we have and how often they visit various sections of our Services and to improve or customize the content and offerings on our Services. For example, we may use cookies to personalize your experience through our Services, such as to recognize you by your user name and when you return to our Services, and save your password and password-protective areas. We, our third-party service providers and/or our partners may use Tracking Technologies to monitor the behavior and collect data about the visitors viewing a web page.

In addition to the Tracking Technologies, log data collected on our web servers supply us with aggregate Usage Information about the number of visits to different pages on our Services. We use such aggregate Usage Information to improve access to content based on our visitors' browsers and operating system types to make our content available to as many users as possible.

By agreeing to this Privacy Policy, you are consenting to the use of Tracking Technologies as set forth in this Privacy Policy. There is no consensus among industry participants as to what “Do Not Track” means in this context. How We Use The Information We Collect

Personal Information and Non-Personal Information are used for the following purposes: (i) to provide, optimize and improve the Services, features and content, which includes, among other things, determining your general geographic location, (ii) to administer your use of the Services and Million Stories account, (iii) to enable users to enjoy and easily navigate the Services, (iv) to better understand your needs and interests, (v) to fulfill requests you may make, (vi) to personalize your experience, (vii) to provide service announcements, and (viii) to provide you with further information and offers from us or third parties that we believe you may find useful or interesting, including newsletters, marketing or promotional materials and other information on Million Stories related services. If you decide at any time that you no longer wish to receive such communications, please follow the unsubscribe instructions provided in any of the communications.

We use information we obtain by technical means (such as the automatic recording performed by our servers or through the use of cookies) for the above purposes and in order to monitor and analyze use of the Services and for the technical administration of the Services, to increase the functionality and user-friendliness of the Services, to better tailor both to your needs, to generate and derive useful data and information concerning the interests, characteristics and website use behavior of our users, and to verify that visitors and users to and of the Services meet the criteria required to process their requests.

By registering with Million Stories, you consent to receiving periodic emails including: Million Stories updates and newsletters and relevant account notifications. In addition to these you may opt-in to notifications including: media subscriptions and group updates. We will provide means to opt-out of any email notifications from Million Stories and will include links to opt-out in every email.

Information Sharing and Disclosure

Third Parties. We will not share or sell Personal Information with other organizations for their marketing or promotional uses without your express consent.

Social Media. If you choose to link your Million Stories account with a social networking service (such as, for example, Facebook), Million Stories and that service may share certain information about you and your activities. You may choose to share information about your activities, including what you watch on Million Stories, with that social network’s users.

Aggregate Information and Non-Personal Information. We may share aggregated information that includes Non-Personal Information and log data with third parties for industry analysis and demographic profiling. Any aggregated information shared in these contexts will not contain your Personal Information. While we may use a variety of service providers to perform analytics services, some of these companies are members of the Network Advertising Initiative ("NAI") or the Digital Advertising Alliance ("DAA") Self-Regulatory Program for Online Behavioral Advertising. Service Providers. We may employ third party companies and individuals to facilitate the Services, to provide the Services on our behalf, to perform services related to administration of the Services (including, without limitation, maintenance, hosting and database management services, web analytics and administration). These third parties have access to your Personal Information only to perform these tasks on our behalf and are obligated not to disclose or use it for any other purpose.

Compliance with Laws and Law Enforcement. Million Stories cooperates with government and law enforcement officials and private parties to enforce and comply with the law. We will disclose any information about you to government or law enforcement officials or private parties as we, in our sole discretion, believe necessary or appropriate to respond to claims and legal process (including but not limited to subpoenas), to protect the property and rights of Million Stories or a third party, to protect the safety of the public or any person, or to prevent or stop any activity we may consider to be, or to pose a risk of being, illegal, unethical, inappropriate or legally actionable.

Business Transfers. Million Stories may sell, transfer or otherwise share some or all of its assets, including your Personal Information, in connection with a merger, acquisition, reorganization or sale of assets or in the event of bankruptcy.

California Residents. Under California Civil Code Section 1798.83, California residents who provide us with Personal Information in obtaining products or services for personal, family, or household use are entitled to request and obtain from us one time per calendar year information about the customer information we shared, if any, with other businesses for their own direct marketing uses. Alternatively, the law provides that a company may comply, as Million Stories does, by disclosing in its privacy policy that it provides consumers choice (opt-out or opt-in) regarding sharing Personal Information with third parties for those third parties’ direct marketing purposes, and information on how to exercise that choice. As stated above in this Privacy Policy, Million Stories provides you choice prior to sharing your Personal Information with third parties for their direct marketing purposes. If you do not opt-in or if you choose to opt-out at the time Million Stories offers that choice, Million Stories does not share your information with that identified third party for its direct marketing purposes.

We are not responsible for notices that are not labeled or sent properly, or do not have complete information.

Changing or Deleting Your Information

All Million Stories members may review, update, correct or delete the Personal Information in their registration profile by logging into their account, going to the “My Account Info” page, clicking the “Edit Info” button, and changing the information associated with their account. If you completely delete all such information, your account may be deactivated. We will make good faith efforts to make the requested changes in our then active databases. If you make changes, information may persist internally for administrative purposes and that residual data may remain on backup media or for other reasons. We may also retain an archived copy of your records as required by law or for legitimate business purposes.

Security

We have put in place commercially reasonable physical, electronic, and managerial procedures in an effort to safeguard and help prevent unauthorized access, maintain data security, and correctly use the information we collect online. However, no data transmission over the Internet, wireless transmission, or electronic storage of information can be guaranteed to be 100% secure. Please note that we cannot ensure or warrant the security of any information we collect. You use our Services and provide us with your information at your own risk.

Information Transfer

Your information may be transferred to -- and maintained on -- computers located outside of your state, province, country or other governmental jurisdiction where the privacy laws may not be as protective as those in your jurisdiction. If you are located outside the United States and choose to provide information to Million Stories, please be advised that we transfer Personal Information to the United States and process it there. The data protection and other laws of the United States or other countries in which your data may be stored or processed may not be as comprehensive as those in your own country. By using the Services, you fully understand and unambiguously consent to your information being transferred, processed, and stored as set forth in this Privacy Policy.

The Services contain links to other websites. If you choose to visit a third party link such as a link to one of our Partners, you will be directed to that third party's website. The fact that we call a third party a “Partner” or link to a website is not an endorsement, authorization or representation that we are affiliated with that third party, nor is it an endorsement of their privacy or information security policies or practices. We do not exercise control over third party websites. These other websites may place their own cookies or other files on your computer, collect data or solicit Personal Information from you. Other websites and services follow different rules regarding the use or disclosure of the Personal Information you submit to them. INFORMATION FOR RESIDENTS OF THE EUROPEAN ECONOMIC AREA

Million Stories is only intended for users in the United States. However, this section of the Privacy Policy applies if, despite such geographic restriction, you use our Services covered by the Privacy Policy from a country in the European Union or another member state of the European Economic Area ("EEA"), and it supplements the information in the Privacy Policy.

Singleton Foundation For Financial Literacy and Entrepreneurship, a California nonprofit public benefit corporation, is the data controller for processing of information defined as personal data under applicable data protection law ("Personal Data").

LEGAL BASIS FOR DATA PROCESSING

We process Personal Data for the purposes set out in the Privacy Policy. Our legal bases to process Personal Data include processing that is necessary to comply with legal requirements and to make mandatory disclosures to law enforcement and regulatory authorities; necessary for our legitimate interests (for example, to manage our relationship with you, to improve the website and our services, to protect our property and safeguard against fraud and malware, to make or defend legal claims); and based on consent by our customers (for example, to communicate with you about our products and services and provide you with marketing information). Where we process your Personal Data with your consent, you may subsequently withdraw consent at any time by contacting us (using the contact instructions below), without affecting the lawfulness of processing based on consent before its withdrawal.

EU DATA SUBJECT RIGHTS

The EU General Data Protection Regulation (GDPR) and other applicable data protection laws provide certain rights for individual data subjects ("EU Data Subject Rights"). You may decline to share certain Personal Data with us, in which case we may not be able to provide some of the features and functionality of our services. These rights include, in accordance with applicable law, the rights to access or rectify Personal Data, object to or restrict further processing, or request the erasure of Personal Data or, where feasible, to have it moved to a new service provider ("data portability"). You must be 16 years or older to make a request or else have your parent contact us on your behalf.

Normally, we can respond to requests for access within 48 hours. If we cannot honor your request concerning Data Subject Rights within 30 days, we will inform you and provide an explanation. When technically feasible, at your request, we will provide your Personal Data to you or transmit it directly to another controller.

We retain your Personal Data while you have an account with us and while you are using our services or continuing to visit our Million Stories User Interfaces. We will retain your Personal Data for as long as it is reasonably necessary for the purposes set out in the Privacy Policy, considering the time period reasonably necessary to: provide the services to you; exercise the choices and rights you have requested; comply with our contractual obligations; enforce our terms for use of the services; and comply with legal and regulatory requirements.

If you have any unresolved privacy concern that we have not addressed satisfactorily after contacting us, you have the right to contact the relevant national data protection supervisory authority and lodge a complaint.

TERMS OF SERVICE

1. INTRODUCTION

Welcome to Million Stories, which is operated and presented to viewers and users by Singleton Foundation for Financial Literacy and Entrepreneurship, a California nonprofit public benefit corporation (“Singleton”). This website is for informational purposes only. These Terms of Use (“Terms of Use” or “Terms”) apply to MillionStories.com (the “Site”). Singleton is referred to in these Terms of Use as “Million Stories," "we,” or "us”.

YOU AGREE TO THE ARBITRATION AGREEMENT AND CLASS ACTION WAIVER DESCRIBED IN SECTION 12 TO RESOLVE ANY DISPUTES WITH MILLION STORIES (EXCEPT FOR MATTERS THAT MAY BE TAKEN TO SMALL CLAIMS COURT).

Million Stories provides an online video service offering a selection of series, clips, and other content (collectively, the "Content"). Our Site, the Content, our player for viewing the Content (the "Video Player") and any other features, tools, applications, materials, or other services offered from time to time by Million Stories in connection with its services, however accessed, are referred to collectively as the "Million Stories Services.”

The Content is available for viewing on or through the Site and Million Stories authorized features and devices (collectively, the "Properties").

In providing financial guidance in the Million Stories Services (including the Content), Million Stories is not acting as a Certified Financial Planner, Certified Financial Analyst or Economist, CPA, accountant or lawyer. Million Stories does not make any recommendation as to any specific securities or investments. All Million Stories Services are for informational and general purposes only and does not constitute financial, accounting or legal advice. You should consult your own tax, legal and financial advisor regarding your particular situation. Million Stories does not accept any loss which may arise from accessing or reliance on information in the Million Stories Services and to the fullest extent permitted by law Million Stories excludes all liability for loss or damages direct or indirect arising from the use of such information.

The Million Stories Services are provided to you free-of-charge.

2. CHANGES TO THE TERMS OF USE BY MILLION STORIES

Million Stories may amend these Terms of Use at any time by posting the amended Terms of Use on the Million Stories Site (“Updated Terms”). The Updated Terms will be effective as of the time of posting, or such later date as may be specified in the Updated Terms, and will apply to your use of the Site from that point forward. Your use of the Site after we have posted the Updated Terms (or engaging in such other conduct as we may reasonably specify in the Updated Terms) constitutes your agreement to the Updated Terms.

3. ACCESS AND USE OF THE MILLION STORIES SERVICES

Million Stories owns and retains all rights to the Million Stories Services, except that Content you access and view as part of the Million Stories Services is owned or controlled by Million Stories and/or Million Stories’ licensors. The Million Stories Services and the Content are protected by copyright, trademark, and other intellectual property laws.

Subject to your strict compliance with these Terms, Million Stories hereby grants you a non-exclusive, limited, revocable, non-assignable, non-transferable license to use the Million Stories Services, including accessing and viewing the Content on a streaming or download basis through the Video Player, solely for personal, non-commercial purposes as set forth in these Terms.

You may only access and view the Content personally and for a non-commercial purpose in compliance with these Terms. You may not, either directly or through the use of any device, software, internet site, web-based service, or other means, remove, alter, bypass, avoid, interfere with, or circumvent any copyright, trademark, or other proprietary notices marked on the Content or any digital rights management mechanism, device, or other content protection or access-control measure associated with the Content, including geo-filtering mechanisms. You may not, either directly or through the use of any device, software, internet site, web-based service, or other means, copy, download, stream capture, reproduce, duplicate, archive, distribute, upload, publish, modify, translate, broadcast, perform, display, sell, transmit or retransmit the Content unless expressly permitted by Million Stories in writing. You may not incorporate the Content into, or stream or retransmit the Content via, any hardware or software application or make it available via frames or in-line links unless expressly permitted by Million Stories in writing. Furthermore, you may not create, recreate, distribute or advertise an index of any significant portion of the Content unless authorized by Million Stories. The Content covered by these restrictions includes, without limitation, any text, graphics, layout, interface, logos, photographs, audio and video materials, and stills. In addition, you are strictly prohibited from creating derivative works or materials that otherwise are derived from or based in any way on the Content, including montages, mash-ups and similar videos, wallpaper, desktop themes, greeting cards, and merchandise, unless it is expressly permitted by Million Stories in writing. This prohibition applies even if you intend to give away the derivative materials free-of-charge.

You may not modify, enhance, remove, interfere with, or otherwise alter in any way any portion of the Video Player, its underlying technology, any digital rights management mechanism, device, or other content protection or access control measure incorporated into the Video Player.

Additionally, you may not do any of the following:

  • use the Million Stories Services in any manner that interferes with the normal function of the Million Stories Services or normal access to the Million Stories Services of other users, including by utilizing a disproportionately large percentage of the capacity of the Million Stories Services;

  • access or attempt to access other users’ accounts through password mining or any other means;

  • use any unauthorized means to modify, reroute, or gain access to the Million Stories Services;

  • interact with the Million Stories Services in a way intended to sidestep or otherwise nullify any restriction or limitation that we have placed on the use of the Million Stories Services by you or others;

  • damage, disable, overburden, or impair the Million Stories Services, including by uploading or transmitting to any element of the Million Stories Services or to any servers, computer or networks connected to or accessible via the Million Stories Services, any malicious code, virus, Trojan horses, worm, time bombs, or other computer programming routines that may initiate a denial of service attack or otherwise attempt to interfere with or disrupt the normal operation of any element of the Million Stories Services; or

  • corrupt, damage, steal, or access or use without authorization, any information stored, processed or transmitted by the Million Stories Services or any servers, computer or networks connected to or accessible via the Million Stories Services.

If Million Stories determines in its sole discretion that you are violating any of these Terms, we may (i) close your account, notify you, and demand that you immediately cease use of the Million Stories Services and/or (ii) use technical measures to block or restrict your access or use of the Million Stories Services. In either case, you agree to immediately stop accessing or using in any way (or attempting to access or use) the Million Stories Services, and you agree not to circumvent, avoid, or bypass such restrictions, or otherwise restore or attempt to restore such access or use.

We may, in our sole and absolute discretion, change, suspend, or discontinue - temporarily or permanently - some or all of the Million Stories Services (including access to some or all of the Content and any devices through which the Million Stories Services may be accessed), with respect to any or all users, at any time without notice. You agree that Million Stories will not be liable to you for any modification, suspension, or discontinuance of the Million Stories Services.

You are responsible for any costs you incur to access the internet.

4. ACCOUNTS AND REGISTRATION

If you elect to create an account with the Site, you will have access to certain additional Site functionality that may include among other things the ability to create Content playlists, add Content to favorites, and save certain usage preferences. You are responsible for all use of your account, including use of your account by other members of your household. By allowing others to access your account, you agree to be responsible for ensuring that they comply with these Terms of Use and you agree to be responsible for their activity using the Million Stories Services.

All registration information you submit must be accurate and updated. Please keep your password confidential. You will not have to reveal it to any Million Stories representative. Because you are responsible for all use of your account, including unauthorized use by any third party, please be very careful to guard the security of your password.

You can close your account by contacting our customer service department by sending an email requesting account closure to info@millionstories.com.

We reserve the right to immediately terminate or restrict your account or your use of the Million Stories Services or access to Content at any time, without notice or liability, if Million Stories suspects or determines, in its sole discretion, that you have breached these Terms of Use; violated any law, rule, or regulation; or for any other reason.

5. COLLECTION AND USE OF PERSONAL INFORMATION

For information about Million Stories' policies and practices regarding the collection and use of your personally identifiable information, please read Million Stories' Privacy Policy available at www.millionstories.com/privacy-policy. The Privacy Policy is incorporated by reference and made part of these Terms of Use. Thus, by agreeing to these Terms of Use, you agree that your presence on the Million Stories Site and use of the Million Stories Services on any of the Properties are governed by the Million Stories Privacy Policy in effect at the time of your use.

6. LINKED DESTINATIONS AND ADVERTISING

If we provide links or pointers to other websites or destinations, you should not infer or assume that Million Stories operates, controls, or is otherwise connected with these other websites or destinations. When you click on a link within the Million Stories Services, we may not warn you that you have left the Million Stories Services and are subject to the terms and conditions (including privacy policies) of another website or destination. In some cases, it may be less obvious than others that you have left the Million Stories Services and reached another party’s website or destination. Please be careful to read the terms of use and privacy policy of any other website or destination before you provide any confidential information or engage in any transactions. You should not rely on these Terms to govern your use of another website or destination.

Million Stories is not responsible for the content or practices of any website or destination other than the Million Stories Site, even if it links to the Million Stories Site and even if the website or destination is operated by a company affiliated or otherwise connected with Million Stories. By using the Million Stories Services, you acknowledge and agree that Million Stories is not responsible or liable to you for any content or other materials hosted and served from any website or destination other than the Million Stories Site.

Million Stories takes no responsibility for any third-party material (including materials from our sponsors) posted anywhere on the Million Stories Services, or the Properties, nor does it take any responsibility for the products or services provided by such third parties. Any dealings you have with third parties found while using the Million Stories Services are between you and the applicable third party, and you agree that Million Stories is not liable for any loss or claim that you may have against a third party.

7. TRADEMARKS

Million Stories, the Million Stories logo, www.MillionStories.com, and other Million Stories marks, graphics, logos, scripts, and sounds are trademarks of Million Stories. None of the Million Stories trademarks may be copied, reproduced, downloaded, or otherwise exploited without Million Stories’ express written consent.

8. UNSOLICITED SUBMISSIONS

It is Million Stories' policy not to accept unsolicited submissions, including scripts, story lines, articles, characters, drawings, information, suggestions, ideas, or concepts. This is to avoid any misunderstandings if your ideas are similar to those we have developed or are developing independently. Accordingly, Million Stories does not accept unsolicited materials or ideas. However, if you do submit unsolicited submissions despite this request, we will not read, listen to or view them and we will discard them immediately.

MILLION STORIES SERVICES, INCLUDING THE MILLION STORIES SITE AND THE OTHER PROPERTIES, THE CONTENT, THE VIDEO PLAYER, AND ANY OTHER MATERIALS CONTAINED ON OR PROVIDED THROUGH THE PROPERTIES, ARE PROVIDED "AS IS" AND, TO THE FULLEST EXTENT PERMITTED BY LAW, ARE PROVIDED WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WITHOUT LIMITING THE FOREGOING, MILLION STORIES DOES NOT MAKE ANY WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE, TITLE, MERCHANTABILITY, COMPLETENESS, AVAILABILITY, SECURITY, COMPATIBILITY OR NONINFRINGEMENT; OR THAT THE MILLION STORIES SERVICES WILL BE UNINTERRUPTED, FREE OF VIRUSES AND OTHER HARMFUL COMPONENTS, ACCURATE, ERROR FREE, OR RELIABLE.

IN NO EVENT SHALL MILLION STORIES OR ITS AFFILIATES, SUCCESSORS, AND ASSIGNS, AND EACH OF THEIR RESPECTIVE INVESTORS, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND SUPPLIERS (INCLUDING DISTRIBUTORS AND CONTENT LICENSORS) (COLLECTIVELY, THE "MILLION STORIES PARTIES"), BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR OTHER DAMAGES, INCLUDING LOSS OF PROFITS, ARISING OUT OF OR IN ANY WAY RELATED TO THE USE OF THE MILLION STORIES SERVICES (INCLUDING ANY INFORMATION, PRODUCTS, OR SERVICES ADVERTISED IN, OBTAINED ON, OR PROVIDED THROUGH THE PROPERTIES), WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR OTHER THEORY, EVEN IF THE MILLION STORIES PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF DAMAGES. CERTAIN STATE LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS, EXCLUSIONS, OR LIMITATIONS MAY NOT APPLY TO YOU. IN NO EVENT SHALL THE MILLION STORIES PARTIES’ TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES AND CAUSES OF ACTION WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE EXCEED THE GREATER OF THE AMOUNT PAID BY YOU TO MILLION STORIES, IF ANY, FOR ACCESSING OR PARTICIPATING IN ANY ACTIVITY RELATED TO USE OF THE MILLION STORIES SERVICES, OR $50.

YOU AGREE TO DEFEND, INDEMNIFY, AND HOLD HARMLESS THE MILLION STORIES PARTIES FROM AND AGAINST ANY AND ALL LIABILITIES, CLAIMS, DAMAGES, EXPENSES (INCLUDING REASONABLE ATTORNEYS' FEES AND COSTS), AND OTHER LOSSES ARISING OUT OF OR IN ANY WAY RELATED TO YOUR BREACH OR ALLEGED BREACH OF THESE TERMS, OR YOUR USE OF THE MILLION STORIES SERVICES (INCLUDING YOUR USE OF THE CONTENT). MILLION STORIES RESERVES THE RIGHT, AT OUR OWN EXPENSE, TO EMPLOY SEPARATE COUNSEL AND ASSUME THE EXCLUSIVE DEFENSE AND CONTROL OF ANY MATTER OTHERWISE SUBJECT TO INDEMNIFICATION BY YOU.

10. LINKING POLICY

Million Stories grants you the revocable permission to link to the Site; provided, however, that the source website that links to the Site: (a) must not present false information about, disparage, damage, dilute or tarnish the goodwill associated with Million Stories or its products or services, any Million Stories property or any other intellectual property; (b) must not create the false appearance that your website or organization is sponsored, endorsed by, affiliated or associated with Million Stories; (c) must not frame or create a browser or border environment around any of the Content or otherwise mirror any part of the Million Stories Services; (d) must not use any Million Stories trademarks without the prior written permission from Million Stories (except as such trademarks may be automatically generated, in the case of the link appearing in a social media post); (e) must not contain content that could be construed as distasteful, offensive or controversial or otherwise objectionable (in Million Stories’ sole opinion); and (f) must be owned and controlled by you or the person or entity placing the link, or otherwise permit you to enable such link subject to these Terms. You agree that you will not link to the Site from any source that is unlawful, abusive, indecent or obscene, that promotes violence or illegal acts, that contains expressions of racism, that is libelous, defamatory, scandalous, or inflammatory or is otherwise inappropriate (in Million Stories’ sole discretion). If you do link to the Site, the link must be in plain text (or an automatically generated preview of the target website, in the case of the link appearing in a social media post), unless otherwise pre-approved in writing by Million Stories. Million Stories reserves the right, in its sole discretion, to terminate a link with any website that it deems inappropriate or inconsistent with the Million Stories Services or these Terms. By linking to the Site, you agree that you do and will continue to comply with the above linking requirements.

Notwithstanding anything to the contrary contained in these Terms, Million Stories reserves the right to prohibit linking to the Site for any reason in our sole and absolute discretion.

11. GENERAL INFORMATION

We are a company based in the United States and Million Stories is intended only for viewers in the United States. Million Stories' goal is to bring you as much relevant and high-quality Content as is legally available. That said, we are limited by the rights that our content licensors grant to us. Using technologies to access the Content from territories where Million Stories does not have rights or does not offer services is prohibited.

Software and the transmission of applicable technical data, if any, in connection with the Million Stories Services are subject to export controls. You agree to comply with all applicable laws regarding software and the transmission of technical data exported from the United States.

12. ARBITRATION NOTICE: EXCEPT FOR CERTAIN TYPES OF DISPUTES DESCRIBED IN THE ARBITRATION SECTION BELOW, YOU AGREE THAT DISPUTES BETWEEN YOU AND MILLION STORIES WILL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION AND YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

Except for disputes relating to the infringement or misappropriation of your or Million Stories’ intellectual property (including but not limited to trademarks, trade dress, copyrights, patents and trade secrets) or disputes in which Million Stories is seeking an injunction (“Excluded Disputes”), you agree that all disputes between you and Million Stories (whether or not such dispute involves a third party) with regard to your relationship with Million Stories, including without limitation disputes related to these Terms of Use or your use of the Million Stories Services, will be resolved by binding, individual arbitration under the Judicial Arbitration and Mediation Services rules for arbitration of consumer-related disputes and you and Million Stories hereby expressly waive trial by jury. Neither you nor Million Stories will participate in a class action or class-wide arbitration for any claims covered by these Terms. At your election, desktop or telephone arbitration, if available, can be used for claims of less than $10,000. Rather than force everyone to visit us in Los Angeles, if you can demonstrate that arbitration in Los Angeles would create an undue burden to you, you are free to initiate the arbitration in your home city. Otherwise, the arbitration hearings will be held in Los Angeles County, California. As an alternative, you may bring your claim in your local "small claims" court, if permitted by that small claims court's rules. You may bring claims only on your own behalf.

This dispute resolution provision will be governed by the Federal Arbitration Act. Judgment on the award rendered by the arbitrator may be entered in any court having competent jurisdiction. Any provision of applicable law notwithstanding, the arbitrator will not have authority to award damages, remedies or awards that conflict with these Terms of Use. The decision of the arbitrator will be final and binding except as provided in the Federal Arbitration Act. You understand and agree that all aspects of the arbitration proceeding and the award, including the hearing, except as may be necessary in connection with a court application for a preliminary or permanent injunction, or unless otherwise required by law or judicial decision, shall be confidential. You understand and agree that any provision of applicable law notwithstanding, the arbitrator will not have authority to award punitive or exemplary damages, except where permitted by statute, and the parties waive any right to recover any such damages. Judgment upon the award rendered by the arbitrator may be entered in any court of competent jurisdiction. If any portion of this Section is found to be invalid, illegal or unenforceable, for any reason, that portion shall be severed from the rest and shall not affect the agreement to resolve all controversies and claims through arbitration.

Since we always prefer to find ways to satisfy you as quickly and efficiently as possible, before initiating any arbitration proceeding, you agree to first discuss the matter informally with Million Stories for at least 30 days. 13. GOVERNING LAW:

These Terms of Use are governed by, and construed in accordance with, the laws of the State of California without giving effect to principles of conflicts of law. In the event of an Excluded Dispute, you agree to submit to the exclusive jurisdiction of the courts located in the Los Angeles County of the State of California.

Please note that these Terms of Use, including Million Stories Privacy Policy which is incorporated in these Terms, constitute the entire legal agreement between you and Million Stories and govern your use of the Million Stories Services (including your use of the Content) (but excludes any services, if any, that Million Stories may provide to you under a separate signed written agreement), and completely replaces any prior agreements between you and Million Stories in relation to the Million Stories Services. Except as set forth in Section 2 above, these Terms may not be amended or varied except in a writing signed by Million Stories. These Terms of Use operate to the fullest extent permissible by law. If any provision of these Terms is held to be unlawful, void, or unenforceable, you and we agree that the provision will be deemed severable from these Terms and will not affect the validity and enforceability of any remaining provisions. These Terms are not assignable, transferable or sublicensable by you except with the prior written consent of a duly authorized representative of Million Stories. No waiver by either party of any breach or default hereunder shall be deemed to be a waiver of any preceding or subsequent breach or default.
